By accessing or using the Verdrix platform and associated services ("the Service"), operated by Verdrix, you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you (or the organisation you represent) and Verdrix.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not have that authority, or if you do not agree to these Terms, do not use the Service.
Verdrix is a cloud-based AI threat modeling platform that enables security teams to map AI system architectures, identify threats, assess risk, implement controls, and generate compliance reports. The Service is provided on a subscription basis via the web application at verdrix.com.
We reserve the right to modify, add, or remove features of the Service with reasonable advance notice. Material changes that substantially reduce the functionality of your current subscription tier will be communicated in advance. We do not guarantee that the Service will be available uninterrupted or error-free at all times.
To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You may use the Service to model, analyse, and document threats to AI systems within your organisation, consistent with your subscription tier and in compliance with these Terms.

The Service is offered under tiered subscription plans, including a free tier and paid tiers. Subscription details, limits, and pricing are described at verdrix.com/pricing and are subject to change with reasonable notice.
You retain ownership of all architecture data, threat modeling content, and files that you input into or upload to the Service ("Your Content"). These Terms do not transfer any ownership of Your Content to Verdrix.
By using the Service, you grant Verdrix a limited, non-exclusive licence to store, process, and display Your Content solely to the extent necessary to provide the Service to you. This licence terminates when you delete the content or close your account.
We do not use your architecture data or threat modeling content to train AI models, and we do not share Your Content with other customers or third parties except as described in our Privacy Policy.
The Verdrix platform, including its design, software, algorithms, user interface, documentation, and all associated intellectual property, is owned by Verdrix and is protected by applicable intellectual property laws.
These Terms do not grant you any rights to Verdrix's intellectual property beyond the limited licence to use the Service during an active subscription. You may not copy, reproduce, distribute, or create derivative works based on any part of the Verdrix platform without prior written consent from Verdrix.
The Verdrix name, logo, and brand marks are trademarks of Verdrix. You may not use them without written permission.
To the maximum extent permitted by applicable law, Verdrix's total aggregate liability to you for any claims arising out of or related to these Terms or the Service — whether in contract, tort, or otherwise — shall not exceed the total amounts paid by you to Verdrix in the twelve (12) months immediately preceding the event giving rise to the claim. If you are on the free tier and have paid no fees, Verdrix's liability is limited to £100.
In no event shall Verdrix be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if Verdrix has been advised of the possibility of such damages.
Some jurisdictions do not permit exclusion or limitation of certain categories of damages. In those jurisdictions, Verdrix's liability is limited to the fullest extent permitted by applicable law.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Verdrix disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Verdrix does not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities. Threat modeling outputs generated by the Service are advisory in nature and are not a substitute for qualified security assessment or legal advice. You are responsible for validating outputs and making security decisions appropriate to your specific context.
Either party may terminate these Terms at any time. You may terminate by closing your account. Verdrix may terminate or suspend your access to the Service where you have materially breached these Terms, with reasonable notice where practicable. In cases of serious violations (including attempted unauthorised access to other customers' data), suspension may occur without prior notice.
Upon termination, your right to access the Service ceases. Your data will be handled in accordance with the retention provisions described in our Privacy Policy.
The laws of [jurisdiction] govern these Terms and any dispute arising from or relating to these Terms or the Service. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of [jurisdiction].
We may revise these Terms from time to time. For material changes — those that substantially affect your rights or obligations — we will provide at least 14 days' advance notice by email to the address associated with your account.
Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you should stop using the Service before the effective date.
